“The Client” refers to the individual or organisation commissioning work

Commencing a Project
A project is considered confirmed when:
A written agreement or proposal is accepted, and
The required deposit has been received.
Acceptance of a proposal or payment of a deposit confirms acceptance of these Terms & Conditions.
Payment Terms
Projects typically require a 50% deposit prior to the start of work, with the remaining balance payable before final files or assets are delivered, unless otherwise agreed.
All invoices are payable within 14 days.
Once work has commenced, deposits are non-refundable, as they cover research, planning, and studio time allocated to the project.
If a project extends over a longer period, Design By Us may issue stage or progress invoices during the course of the project.
Late payments may incur interest or administrative charges in accordance with UK late payment legislation.
Scope of Work
Project fees are based on the scope outlined in the agreed proposal.
If the scope of the project changes — such as additional deliverables, new requests, or significant revisions — additional fees may apply. We will always aim to discuss and agree any changes before additional work begins.
Revisions
Most projects include two rounds of reasonable revisions, unless otherwise specified.
Minor revisions may include adjustments to text, layout, or colour.
Significant changes to approved concepts, new design directions, or additional deliverables may be considered out of scope and charged separately.
Delivery of Work
Final files will be delivered once the project is complete and all outstanding invoices have been paid.
Design By Us is not responsible for errors identified after final approval. Clients are responsible for reviewing and approving final materials before production, launch, or publication.
Copyright & Ownership
Design By Us retains ownership of all design concepts and working files created during a project.
Upon receipt of full and final payment, ownership of the approved final deliverables transfers to the Client.
Unused concepts, drafts, and exploratory work remain the intellectual property of Design By Us.
Design By Us reserves the right to showcase completed work within our portfolio, website, and promotional materials unless otherwise agreed.
Third-party assets such as fonts, photography, or stock imagery may remain subject to their original licensing agreements.
Confidentiality
Both parties agree to keep confidential any sensitive information shared during the course of a project.
This includes business information, strategy, intellectual property, or materials not intended for public release.
Project Cancellation
If a project is cancelled by the Client after work has commenced, the deposit will be retained to cover time and resources already committed.
Where work completed exceeds the value of the deposit, an additional pro-rata fee may be charged based on work undertaken.
If Design By Us cancels a project due to unforeseen circumstances, any unused portion of the deposit will be refunded.
Liability
Design By Us will not be liable for indirect or consequential losses arising from the use of our work, including loss of revenue, profits, or business opportunities.
Our total liability in relation to any project is limited to the fees paid for that project.
Force Majeure
Design By Us will not be held responsible for delays or failure to perform services where such delays are caused by circumstances beyond our reasonable control. This may include natural disasters, illness, power outages, supplier issues, or other unforeseen events.
